As a project evolves, there might be instances where the scope of required work undergoes changes. In such cases, ITW will promptly engage in discussions to mutually agree upon any necessary adjustments to the scope of the Services and the Quote/Production Estimate.

Author’s Corrections: Unless explicitly outlined in the Quote/Proposal, we incorporate 2 rounds of revisions for all deliverables following the presentation of an initial concept. Any additional revisions briefed beyond this scope will incur charges in accordance with ITW’s standard hourly rate card.

3.2. Information: To ensure optimal effectiveness, ITW Solutions LLP collaborates with you as a unified team. Often, the progress of ITW’s work hinges on your timely provision of information or data, as well as inputs from your other advisors. For the sake of efficiency, ITW will assume that all information provided by you is complete and accurate unless communicated otherwise.

3.3. Incidentals: If necessary, expenses such as couriers or printed proofs from external printers will be billed to the client.

3.4. Termination: In the event that you decide to terminate the contract after the commencement of work, you will be invoiced for the work that has already been completed.

3.5. Force Majeure: ITW Solutions LLP shall not be held liable for any delays or failures to fulfill their obligations in situations where such delays or failures arise from circumstances beyond ITW’s reasonable control.

4 Pricing and Payment

4.1 When engaging with the services of ITW Solutions LLP, you agree to adhere to our structured pricing and payment terms, as outlined below:

a) Amounts Less Than 50,000: For services with a total cost less than 50,000, the full payment is required in advance before the commencement of the project.

b) Amounts Equal to or Exceeding 50,000: For services with a total cost equal to or exceeding 50,000, the payment can be divided into two installments:

• • • First Installment (50% Advance): A 50% payment of the total cost is required in advance to initiate the project.
    • Second Installment (50% Upon Completion): The remaining 50% payment is due upon the successful completion of the project.

4,2 Timely Final Approval: We understand the importance of timely approvals in project progression. In instances where the client does not provide the final approval within the expected timeframe, the balance payment must be submitted before the agreed-upon deadline. This policy ensures that project timelines remain on track and that completion is not hindered by delays in client approvals.

4.3 Third-Party Payment Service Providers: To facilitate the collection of fees and charges, ITW Solutions LLP employs third-party payment gateways or aggregators (referred to as “Third Party Payment Service Providers”). Please note that these Third third-party payment Service Providers operate independently and are not affiliated with ITW Solutions LLP. They are not considered our agents or employees. In instances where you are redirected to external websites or applications provided by these Third Party Payment Service Providers, we wish to emphasize that we bear no responsibility for:

This Agreement pertains to the sale, transfer, or licensing of Intellectual Property Rights in Designs that are created by a Designer for a Customer via ITW Solutions LLP’s platform.

The provisions of this Agreement are applicable to you in your capacity either as a Customer or a Designer, governing the sale, transfer, or licensing of a Design.

Upon a Customer’s selection of a desired Design for their Design Project, both the Customer and the Designer shall be deemed to have formally entered into a legally binding agreement. This agreement entails the delivery of the chosen Design from the Designer to the Customer, operating under the terms specified in this Agreement as presented below, unless the Customer and the Designer independently reach a separate written agreement to the contrary.

5. Scoping:

5.1. As standard practice, ITW Solutions LLP will provide an inclusive scoping document delineating the functionalities incorporated within our range of services for our clients. This encompasses a diverse array of projects spanning creative services, video productions, website designing, and digital marketing. Upon your endorsement and approval of this scoping document, any alterations surpassing the predefined scope will be regarded as distinct updates and will be subject to separate pricing in accordance with the specific service involved.

6. Content:

6.1. Content and Visuals:

You are responsible for furnishing us with essential information regarding your business and marketing objectives. ITW Solutions LLP, referred to as “ITW,” assumes no liability for inaccuracies in content provided by you. Any subsequent changes arising from such inaccuracies may be subject to standard rate charges. Unless explicitly stated otherwise, you are accountable for supplying all requisite textual and graphical materials constituting the content of the project. All content must be delivered in an appropriate digital format, unless a different arrangement is mutually agreed upon beforehand. Images should be submitted in jpeg, gif, tif, png, or psd formats. Text should be submitted in a Microsoft Word document. Failure to provide material in an accessible format might lead to additional costs for retyping text. If the supplied content necessitates significant copywriting, an additional fee may apply.

6.2. Data for Visual Representations: Charts, graphs, and infographics should be provided in Excel format. If substantial content retyping is required, supplementary costs may arise.

6.3. Images Supplied by Client: Client-supplied images must be high-resolution images at 300DPI for print applications. For web-exclusive usage, lower-resolution images are acceptable. ITW Solutions LLP assumes that all images you provide are owned by you or have been procured from legitimate stock libraries and are licensed for your use. Usage of images sourced from Google is not permissible.

6.4. Usage of Children’s Images: In cases where you employ images of children taken by you, we presume that you possess the requisite permissions to utilize these images.

6.5. Usage of Company Identity: You grant ITW permission to employ logos and any other company identity elements for the purpose of creating the project. You agree to indemnify ITW Solutions LLP against any claims arising from your negligence or inability to secure proper copyright permissions for all supplied content.

7. Confidentiality:

7.1. Confidentiality: Subject to legal obligations, ITW Solutions LLP shall maintain the confidentiality of your documents and affairs. Disclosure will be permitted only if you provide consent or if the pertinent circumstances are already in the public domain. However, ITW may disclose your documents and affairs to:

(i) Other service providers engaged in relevant assignments as communicated to ITW by you.

(ii) Affiliates or related parties of ITW.

(iii) Other service providers appropriately delegated by ITW Creative Agency to facilitate comprehensive services for you.

8. Intellectual Property:

8.1. Utilization of Ideas and IP: ITW Solutions LLP reserves the right to develop or employ any ideas, concepts, source code, information, or know-how embedded in materials provided to you, or generated during the course of service provision, for the benefit of other clients.

8.2. Ownership of Materials and Intellectual Property: Upon full payment to ITW Solutions LLP for relevant materials, all products, creative works, design plans, campaign ideas, slogans, copy themes, preliminary sketches, layouts, copy, artwork, production services, marketing material, and digital content shall become your property, except in cases where intellectual property rights are retained by ITW or third parties engaged by ITW.

8.3. Portfolio Presentation: ITW retains the right to exhibit your project on its website and design portfolio solely for promotional purposes.

8.4. Working Files and Copyright: The legal copyright of our working files is owned by ITW. These files encompass design concepts, elements, infographics, fonts, and imagery, among others. Working files are not part of project deliverables unless requested and quoted separately.

9.0. Indemnity:

9.1. Usage Compliance: All services may be employed exclusively for lawful purposes. You agree to indemnify and absolve ITW Solutions LLP from any claims arising from your utilization of our services, which result in damage to you or any other party.

10.0. Liability:

10.1. Limitation of Liability: Our aggregate liability to you in connection with this contract, whether arising from contract or tort, shall not surpass the total price paid by you. We shall not be liable for indirect or consequential losses, including but not limited to loss of profits, business, revenue, goodwill, or anticipated savings.

11. Variation:

11.1. Modification: These Terms and Conditions (and/or the contents of any associated agreement) may be altered or replaced at any point by mutual written agreement. Such modifications shall not affect any existing rights or obligations, unless explicitly specified otherwise.
